Jack H. Sousa

Principal

Jack has a broad-based transactional practice in business law matters, including corporate formation and governance, securities offerings, corporate financings, and mergers and acquisitions. Jack also has significant experience in employment, intellectual property, and real estate law and transactions.

Jack's typical clients cover a wide range of companies, from venture capital funds, start ups, digital media, technology, manufacturing, retail, apparel companies, and non-profits, as well as individuals, including accredited investors and corporate executives. He regularly deals with formation, structuring, corporate governance, corporate and securities filings, as well as stockholder agreements, operating agreements, and general corporate diligence and filings.

Jack oversees many of the firm's private securities offerings, from equity and equity-linked offerings to debt financings and handles securities filings, both federal and state Blue Sky filings. He advises both companies and individuals regarding stock plans and agreements for grants and options, restrictive covenant agreements such as NDAs and non-competes, and employment and consulting agreements. Jack assists clients with intellectual property matters, from negotiating joint development agreements, to protection and enforcement of IP rights, to federal trademark registration filings. He has significant experience with both stock and asset purchase transactions, from diligence through closing. Jack often helps clients with commercial contracts and various real estate matters from residential and commercial closings to commercial leasing.

Jack received his undergraduate degree in History and Communication from Boston College in 2005. He graduated in 2008 from Fordham University School of Law. Prior to Lev Berlin & Sousa, Jack worked at Whitman Breed Abbott & Morgan in Greenwich, CT and Edwards Angell Palmer & Dodge (now Locke Lord Edwards) in New York, NY. He is a member of the Connecticut State Bar Association, and the Fairfield County Bar Association, and Jack has also served as a director, officer, and advisory board member of a local public charity since 2010. Jack is the President of the New Canaan Men's Platform Tennis League and serves as pro-bono attorney for Connecticut Young Professionals, a local non-profit. Jack was named a Connecticut Super Lawyer® 2017 (Rising Star - Business/Corporate).

Jack lives in New Canaan, CT with his wife Laura and their two daughters, Charlotte and Eleanor.
